Terms and Conditions for Buyers of Wimbledon Debenture Tickets

(A) These Terms and Conditions (“T&C’s”) establish the agreement between you (the “Buyer(s)”) and the Wimbledon Debenture Holder(s) (the “Seller(s)”) in respect of the purchase of Debenture Tickets (“Tickets”) for the “Championships”, via Wimbledon Debenture Tickets (WDT), where WDT acts as an agent for the Seller(s) (the “Contract”).

(B) The Buyer must read these Terms and Conditions carefully before (i) using this website (“Website”), and (ii) using the services of WDT (“Services”), who are acting as an agent of the Sellers. By using this Website and the Services, the Buyer confirms acceptance of these T&C’s and agrees to comply with them.

These T&C’s should also be read in conjunction with the following:

  1. The terms and conditions of the Seller(s) which the Buyer contracts with;
  2. Our Privacy Statement, which sets out how WDT will process any personal data that is collected and or provided to WDT by both Sellers and Buyers;
  3. Our Cookie Statement, which sets out information about the use of cookies on our Website.

1) Interpretation and definitions

1.1) Capitalised terms used in these Terms and Conditions shall have the following meanings.

“Buyer(s)” means the person (which expression shall include a natural person, corporate or unincorporated body, whether or not having a separate legal personality), making a Booking Request.

Booking Request” means the request to purchase Tickets by the Buyer which can be done by any of the following methods: (a) the submission of a Booking Request via WDT’s Website; (b) the submission of a completed Booking Request Form to WDT; or (c) A request by another method (such as by email or telephone), provided that WDT shall have sole discretion to determine the validity of and to accept or decline any such request;

Cancellation Charges” has the meaning given to it in Clause 7;

Cancellation Request” has the meaning given to it in Clause 7;

Commencement Date” means the date on which WDT accepts the Booking Request, acting as agent for the Seller(s);

Contract” has the meaning given to it in Recital (A);

Championships” means “The Championships”, also known as the Wimbledon Tennis Championships, played annually at the All England Lawn Tennis Club, Wimbledon, one of the four Grand Slam events of professional tennis.

“Digital” means tickets that are available in an electronic format, usually accessible via an App on a Smartphone;

 Force Majeure Event” means any circumstance not within a WDT’s reasonable control including, without limitation, adverse weather conditions, acts of God, flood, drought, earthquake, other natural disaster, epidemic or pandemic, terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations, nuclear, chemical or biological contamination or sonic boom, any law or any action taken by a government or public authority, collapse of buildings, fire, explosion or accident, any labour or trade dispute, strikes, industrial action or lockouts (other than in each case by WDT, or companies in its  group), non-performance by suppliers or subcontractors (other than by companies in the same group as WDT) and interruption or failure of utility service;

MyWIMBLEDON Account” means the account that the Buyer(s) needs to set up, via the Wimbledon Website, to allow them to receive the Tickets.

“Paper” means tickets that are printed on paper;

Re-arranged Event” has the meaning given to it in Clause 8.2;

“Seller(s)” means the registered holders of Wimbledon Debenture Tickets, either for Centre Court or No.1 Court, who can legitimately sell Tickets for individual days of the Championships;

“Services” means the administrative activities provided by WDT in acting as agent for the Seller(s) in the sale & distribution of their Tickets to the Buyer(s);

Tickets” means the Debenture Tickets that provide entry and reserved seating into the Championships, which may be in the form of a ‘Digital’ or ‘Paper’ ticket;

“Website” means www.wimbledondebenturetickets.online;

Wimbledon” means the All England Lawn Tennis Club (AELTC) who are responsible for hosting and organising the Championships.

“Wimbledon Website” means www.wimbledon.com where a “MyWIMBLEDON” account can be set up to assist with the transfer and receipt of the Tickets.

2) Acceptance and Commencement of the Contract

2.1) The Buyer’s Booking Request shall be taken as acceptance by the Buyer of these T&C’s.

2.2) All advertised Tickets are subject to availability.

2.3) The Contract shall be deemed to be in force when the Buyer’s Booking Request has been accepted by WDT, acting as agent for the Seller(s). A confirmation email, sent by WDT (acting as agent for the Seller(s)) will constitute the Commencement Date of the Contract.

2.4) The Buyer must be over the age of 18 and have the capacity and authority to enter into legal binding contracts.

2.5) WDT is acting solely as an agent of the Seller(s) and does not acquire title in or to any Tickets(s). WDT accepts no liability in relation to any Contract which the Buyer enters into or for any Tickets which the Buyer purchases or for the acts or omissions of any Seller(s), any Tickets or other services provided by them, or other person(s) or party(ies) connected with any Contracts.  For all Tickets, the Contract will be between the Buyer and the Seller(s).

3) Prices

3.1) All ticket prices quoted by WDT, either on the Website or by email or by telephone, are inclusive of all costs.

3.2) Prices on the Website or elsewhere may be amended from time to time by WDT, acting as agents of the Sellers, in response to market conditions and availability.

3.3) Where a Contract has commenced the prices reflected in the Contract will not be altered. However WDT has the right to amend Ticket prices at any time prior to a booking being accepted, as instructed by the Seller(s).

3.4) Tickets are likely to be supplied as “Digital” tickets to the Buyer, however where Tickets are still supplied as “Paper” tickets then delivery costs to a UK address are included.

4) Buyer Details & Registration Requirements

4.1) It is the responsibility of the Buyer to provide WDT with their correct details when requesting Tickets, in respect of their name, address, email address and contact telephone number(s).

4.2) If the Buyer provides any details that are not complete or incorrect then WDT, acting as agent for the Seller(s), has the right to terminate any contract between the Buyer and the Seller.

4.3) In order to receive “Digital” Tickets from the Seller (via WDT), the Buyer will be required to set up a MyWIMBLEDON Account, via the official “Wimbledon Website”, details of which will be supplied to the Buyer.

5) Payment

5.1) Payment must be made in accordance with the payment schedule specified on the Website at the time of booking. Except where otherwise advised or stated by the Seller(s) concerned, all monies you pay to us for Tickets will be held on behalf of the Seller(s) and forwarded on to the Seller(s) in accordance with our agreement with the Seller(s).

5.2) Payment is requested to be made by Credit or Debit Card, however WDT, acting as agents for the Seller(s), is also able to accept bank transfer payments from the Buyer.

5.3) The Buyer grants WDT, acting as agent to the Seller, irrevocable permission to charge the Buyer’s credit/debit card.

5.4) If the Buyer makes payment by card then Tickets may only be dispatched to the address where the card is registered. An alternative address can be requested in writing by the Buyer however any change will be at the sole discretion of WDT, acting as agent for the Seller(s).

5.5) At no stage does WDT provide the Buyer’s payment information to the Seller(s).

6) Delivery of Tickets

6.1) Payment by the Buyer to WDT shall be deemed to represent an instruction to WDT, acting as agent to the Seller(s), to send the tickets to the Buyer.

6.2) Full payment must be received by WDT before Tickets are sent to the Buyer.

6.3) Tickets will be issued by Wimbledon to the Seller(s) as either “Digital” tickets or “Paper Tickets”. Subject to the Tickets being received by WDT from the Seller, then “Digital” Tickets will be transferred to the Buyer by electronic means to their MyWIMBLEDON Account, or “Paper Tickets” will be sent to the Buyer by secure mail.

6.4) Where “Digital” Tickets are supplied then it is the responsibility of the Buyer to set up their MyWIMBLEDON Account, details of which will be supplied to the Buyer by WDT.

6.5) No refunds can be made for lost “Paper” tickets, however every effort will be made to be obtain duplicate tickets, although there will be an appropriate administration fee for organising such tickets.

6.6) Where “Digital” Tickets have been transferred to the Buyer from WDT, to the Buyer’s MyWIMBLEDON Account, then the Tickets will be deemed to have been delivered to the Buyer from WDT, acting as agent for the Seller(s), when the Buyer receives a confirmation email from Wimbledon confirming that the Tickets are available for the Buyer to accept into their MyWIMBLEDON account. However, where necessary, WDT will make every effort to assist with any technical issue(s) encountered by the Buyer.

7) Cancellation or Amendments to the Booking

7.1) If full payment is not made by the due date WDT will notify the Seller(s) who may cancel your Booking Request and charge any cancellation fees stipulated by the relevant Seller(s), whereupon the Seller(s) may be entitled to relist those Tickets for sale without any notice to the Buyer.

7.2) Once payment has been received by WDT, Tickets may not be exchanged or refunded, other than at the absolute discretion of WDT.

7.3) Cancellation or amendment requests must be submitted to WDT by email, WDT will review each request individually, upon receipt. Whilst WDT will try to assist, WDT cannot guarantee that the Seller(s) will meet such requests. Cancellations and Amendments can only be accepted by the relevant Seller.

7.4) If at any time the Seller(s) is unable to supply the tickets to the Buyer after commencement of the Contract then WDT will use its best endeavours to supply replacement Tickets to the Buyer.

8) Event Alteration, Event Postponement or Event Cancellation

8.1) The Seller(s) nor WDT, acting as agent to the Seller(s), does not host or organise the Championships and gives no guarantee that the Championships will take place. The Seller(s) shall not be in breach of the Contract by virtue of the cancellation, postponement, or abandonment of the Championships.

8.2) If the Championships is postponed and re-arranged for an alternative date (“Re-arranged Event”), WDT, acting as agent for the Seller(s), may, at its sole discretion, either:

  1. transfer the Buyer’s booking to the Re-Arranged Date, in which case the Contract (and the parties’ obligations under it) shall be unaffected and, to the extent necessary to give effect to the terms of the Contract, the Booking Request shall be read as referring to the Re-arranged Date; or
  2. terminate the Contract with immediate effect by giving written notice to the Buyer and the Buyer shall receive a refund which shall be limited to the amount received by the Seller(s) from Wimbledon less any booking/and or handling fees.

8.3) If the Championships is cancelled (and not rescheduled), and Wimbledon enables and authorises refunds to the Seller(s), the Buyer will receive a corresponding refund, following payment to WDT by the Seller(s), which shall be limited to the amount received by the Seller(s) from Wimbledon less any booking and/or administration fees incurred by WDT.

8.4) In the event of partial cancellation or abandonment of a day(s) during the Championships, any compensation offers in respect of those days are subject to Clause 8.3 and to the terms and conditions of Wimbledon and/or at the discretion of Wimbledon and cannot be guaranteed.

8.5) Save for its obligations provided for in clause 8.3 & 8.4, in circumstances involving Force Majeure, WDT shall have no liability to the Buyer and WDT shall be under no obligation to the Buyer to pay or procure the payment to the Buyer of a refund of the whole or part of the price paid by the Buyer.

8.6) The Buyer is advised to arrange, at its sole cost, its own comprehensive insurance policy to cover any risks associated with the cancellation of the Championships.

9) Liability

9.1) Nothing in these Terms and Conditions shall limit or exclude WDT’s liability:

  1. for death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors;
  2. for fraud or fraudulent misrepresentation; or
  3. for breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession) or any other liability which cannot be limited or excluded by applicable law.

9.2) Subject to Clause 9.1, under no circumstances shall WDT, be liable for any of the following, whether in contract, tort (including negligence) or otherwise:

  1. loss of revenue or anticipated revenue;
  2. loss of savings or anticipated savings;
  3. loss of business opportunity;
  4. loss of profits or anticipated profits;
  5. wasted expenditure; or
  6. any indirect or consequential losses.

9.3) WDT, accepts no responsibility or liability for:

  1. changes to the date, start time or schedule of the Championships;
  2. the delivery, quality, performance, security of the Championships;
  3. any loss or damage suffered by the Buyer at or in connection with the Championships, including loss, damage or theft of any personal property;
  4. any loss of amenity or enjoyment suffered by the Buyer in connection with the Championships; or
  5. any breach by Wimbledon or their suppliers of their terms and conditions,

save only to the extent such liability cannot be limited in law.

9.4) Subject to Clause 9.1, WDT’s maximum aggregate liability in contract, tort (including negligence) or otherwise, however arising, under or in connection these T&Cs shall be limited to the amount of the Commission and/ or the charges/ fees or mark up (as applicable) which WDT received from the Buyer(s).

10) Terms of Force

10.1) These Terms and Conditions constitute the entire agreement between WDT and the Buyer and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

10.2) Each of WDT and the Buyer agree respectively that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms and Conditions. Each of WDT and the Buyer agree respectively that it shall have no claim for innocent or negligent misrepresentation based on any statement in these Terms and Conditions.

10.3) Admission to the Championships is subject to the terms of admission of Wimbledon. Please refer to their website. Notwithstanding anything else in these Terms and Conditions, all Tickets are sold subject to the rules, for the time being in force, of Wimbledon and any other rules and regulations that may from time to time being in force at Wimbledon whether imposed by the AELTC or the government or any other statutory or regulatory body or organisations (“Other Rules”). In the event of there being any inconsistency or contradiction as between these Buyers’ Terms and/or AELTC Rules and/or Other Rules, the Other Rules shall prevail over AELTC Rules which, in turn, shall prevail over the Buyers’ Terms.

11) General

11.1) Third Party Rights. Unless it expressly states otherwise, these Terms and Conditions do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms and Conditions.

11.2) No Partnership. Nothing in these Terms and Conditions is intended to, or shall be deemed to, establish any partnership or joint venture between WDT and the Buyer.

11.3) Notices. Any notice or other communication given to WDT and/ or the Buyer under or in connection with these Terms and Conditions shall be in writing, addressed to the recipient at its registered office or such other address as the recipient may have specified in writing in accordance with this Clause 12.3, and shall be delivered personally, or sent by pre-paid first class post or other next working day delivery service, or by commercial courier or email.

11.4) Severability. WDT and the Buyer intend each of these  Terms and Conditions to be severable and distinct from the others. If any one or more of the terms is held to be illegal, invalid or unenforceable, in whole or in part, WDT and the Buyer intend that the legality, validity and enforceability of the remainder of these Terms and Conditions shall not be affected.

11.5) Amendments to these Terms and Conditions. These Terms and Conditions may be modified from time to time, when they will be posted to the Website and become effective immediately. A Buyer’s continued use of the Website and Services shall constitute the Buyer’s acceptance of the revised version.

11.6) Governing Law. These Terms and Conditions and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, or the relationship between (i) WDT as agent for and on behalf of the Seller(s) and (ii) the Buyer, shall be governed by and construed in accordance with the law of England and Wales.

11.7) Trading Name. Wimbledon Debenture Tickets and wimbledondebenturetickets.online are trading names of Debenture Tickets Ltd (Registered Number: 14009720 England & Wales)

11.8) Jurisdiction. Each of WDT and the Buyer irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms and Conditions or its subject matter or formation.
